1.      Introductory Provisions

1.1.      These General Terms and Conditions (the “Terms”) pursuant to Section 1751 of Act 89/2012 Sb., Civil Code, as amended (the “Civil Code”) are the basis for all business arrangements made by Pearla Caviar s.r.o., ID: 086 41 498, registered office at Jiráskovo náměstí 1981/6, 120 00 Prague 2, the Czech Republic, registered in the Commercial Register maintained by the Municipal Court in Prague under file no. C 322491 (the “Seller”), in the sale of its Goods. The Terms define and specify the basic rights and obligations of the Seller and the Buyer and are integral part of the Purchase Agreement.

1.2.      Sending an order, the Buyer confirms his having become acquainted with these Terms, which are integral part of the order, before making the Purchase Agreement and his express consent to the Terms’ wording in force and effect as at the sending of the order.

1.3.      The Terms also apply to the Seller making a specific arrangement with the Buyer for specific deliveries of the Goods, as ancillary arrangements for the things not explicitly agreed upon in the specific arrangement. Any written arrangement between the Parties at variance with these Terms takes precedence over these Terms.

1.4.      Making and fulfilling the Purchase Agreement, the Seller acts within the scope of his business. The Seller is an entrepreneur that delivers the Goods to the Buyer directly or through other entrepreneurs.

1.5.      If the Buyer’s ordering the Goods is part of the Buyer’s doing business or pursuing independently his profession or being a legal entity, the Buyer does not enjoy the consumer protection as provided herein, that is, the relevant provisions of Article 9 – Withdrawal of Buyer if Consumer are not applicable.

1.6.      Only individuals over 18 years of age are permitted to buy alcoholic beverages. The customer always confirms his being over 18 years of age prior to adding of an alcoholic beverage to the shopping cart.

1.7.      The Seller hereby represents and acknowledges that it is prohibited for individuals under 18 years of age to order alcoholic beverages and be sold the same.

2.      DEFINITIONS

“E-shop” means the web interface at https://www.pearlacaviar.com.

“Purchase Agreement” means a separate purchase agreement between the Seller and the Buyer the subject-matter of which is the sale and purchase of the Goods.

“Buyer” means the party which makes the Purchase Agreement with the Seller.

“Parties” mean the Seller and Buyer and the “Party” means the Seller or the Buyer.

“Consumer” means any natural person who makes a contract or other transaction with an entrepreneur outside the natural person’s doing business or pursuing independently his profession.

“Goods” mean anything in the product range offered by the Seller.

3.      PURCHASE AGREEMENT

3.1.      The Seller’s presentation of the Goods in the E-shop is the offer to enter into the Purchase Agreement (the offer). Before making a binding confirmation of his order, the Buyer has the right to make changes in respect of the Goods, the method of transport and the method of payment, that is, has the right to check all the data entered in his order. The Purchase Agreement between the Parties is formed once the Seller’s confirmation (acceptation) of the order is received in the Buyer’s email account. The current wording of the Terms is attached to the confirmation. The Purchase Agreement may only be altered or cancelled by agreement between the Parties or if law so permits.

3.2.      The Purchase Agreement is the Seller’s promise to deliver to the Buyer the goods specified in the order and the Buyer’s promise to accept these Goods from the Seller or the Seller’s carrier and pay the Seller the purchase price for the Goods as specified in the order.

4.      TERMS OF PAYMENT AND DELIVERY

4.1.      The Goods’ purchase prices shown in the E-shop are shown inclusive of VAT.

4.2.      The Seller is entitled to unilaterally alter the purchase prices or discounts for specific instances. Such altered prices or discounts do not apply to the individual Purchase Agreements made prior to the alteration of the price or discount. It is not permitted to combine multiple discounts from a purchase price unless the Seller and the Buyer agree otherwise.

4.3.      The Goods and any cost incurred by the delivery thereof are paid for and covered by the Buyer by any of the following ways if permitted by the E-shop’s options:

  • wire transfer to the Seller’s bank account, the payment identification code (also referred to as variable symbol) being the order number;
  • noncash payment via the payment card;
  • wire transfer to the Seller’s account;
  • cash on delivery payment.

4.4.      In case of payment in cash, the purchase price is payable upon the receipt of the Goods. In the case of non-cash payment, the purchase price is payable within 4 days of entering into the Purchase Agreement.

4.5.      Making a payment gateway payment, the Buyer follows the instructions of the electronic payment service provider.

4.6.      In case of non-cash payment, the obligation of the Buyer to pay the purchase price shall be deemed fulfilled on the date on which the Seller’s bank account is credited with the respective amount.

4.7.      The Receipts Registration Act requires that the Seller issue a receipt to the Buyer and register the income received with the tax administrator online or within 48 hours if technical failure prevents registration online.

4.8.      The Seller issues to the Buyer a tax document – an invoice. The tax document is sent to the buyer’s email account or enclosed to the Goods dispatched.

4.9.      The Seller undertakes to deliver the Goods to the Buyer to the appropriate quantity and quality and by the date specified in the order. The Seller must pack and identify the Goods as customary or agreed by the Parties. Partial deliveries of the Goods under the Purchase Agreement are permitted and the Buyer must also accept partial performance.

4.10.   The packing and transportation of the Goods are arranged for by the Seller at the Buyer’s expense; the Seller may charge (invoice) to the Buyer all the costs incurred in respect of packing and transporting the Goods as per the fees in the current price list published in the E-shop. The Goods are accepted by being delivered to the Buyer. The Buyer must accept the ordered Goods and confirm his acceptance in the bill of delivery.

4.11.   If the Buyer does not accept the Goods or withdraw from the Purchase Agreement in accordance with these Terms, the Seller has the right to be reimbursed for the cost incurred in the storage of the Goods (storage arranged by the Seller is charged at 2% of the purchase price corresponding to the non-accepted Goods for each day, whether complete or not, of delay starting from the day the Goods should be accepted by the Buyer or taken over by the Buyer’s carrier). If, for reasons on part of the Buyer, the Goods need to be delivered several times or by a method other than that agree, the Buyer must cover the cost incurred by such delivery.

4.12.   Delivery of the Goods means the moment the Goods are delivered to the Buyer in accordance with the Purchase Agreement. The Buyer’s refusal to accept the Goods without withdrawing from the Purchase Agreement in writing is not considered as the Seller’s breach of his obligation to deliver the Goods or the Buyer’s withdrawal from the Purchase Agreement.

4.13.   Accepting the Goods, the Buyer must check the integrity of the Goods’ packaging and report immediately any damage to the carrier and the Seller by sending a photograph of damaged packaging of the Goods to info@pearlacaviar.com. Signing the bill of delivery, the Buyer confirms his having accepted intact delivery and acknowledges the impossibility of being permitted to complain about the Goods for damaged packaging thereafter.

4.14.   The Seller undertakes to deliver the Goods together with all the documents necessary for the Goods to be accepted and used as well as all other documents related to the Goods and undertakes to enable the Buyer to acquire title to the Goods.

5.      Transfer of Title and Risk of Damage

5.1.      The Buyer acquires title to the Goods by paying the full purchase price for the Goods (including the cost of packing and delivery) but not earlier than accepting the Goods.

5.2.      The liability for accidental destruction, damage or loss of the Goods passes to the Buyer by the Buyer accepting the Goods or the moment the Buyer should accept the same but contrary to the Purchase Agreement fails to do so (particularly when the Goods are ready for the Buyer to accept them). Destruction, loss or theft of the Goods after the risk of damage passes to the Buyer does not give the Buyer the right to claim any purchase price refund from the Seller.

6.      HANDLING OF GOODS

6.1.      The Buyer acknowledges that in case that the purchased Goods is caviar, in order to maintain its quality and properties, it is necessary to treat it from the moment of receipt as follows:

  • store the caviar in a cool place (refrigerator) at a temperature between 2°C to 4°C unopened for a maximum of 8 weeks;
  • after opening, store the caviar in a closed container in a cool place (refrigerator) at a temperature between 2°C and 4°C and consume it within 2-3 days of opening;
  • remove the caviar from the refrigerator 10-15 minutes before serving.

7.      LIABILITY FOR DEFECTS

7.1.      The Seller is liable for all and any defects the Goods suffer when the risk of damage passes to the Buyer, even if a defect becomes obvious after the passage of the risk. The Buyer must inspect the Goods immediately after the risk of damage passes to the Buyer.

7.2.      Any obvious defect, i.e. a defect that the Buyer can identify in the inspection of the Goods if exercising professional care, must be reported by the Buyer to the Seller in writing immediately after the Buyer inspects or is supposed to inspect the Goods. Unless the Buyer inspects the Goods or arranges the Goods to be inspected upon the passage of risk of damage, the Buyer may only claim defects identifiable at such inspection if able to prove the Goods suffer the defect at the passage of the risk of damage to the Buyer.

7.3.      Any hidden defect, i.e. defects that the Buyer cannot identify during the inspection even if exercising professional care, must be reported by the Buyer to the Seller in writing immediately after the defect is identified or can be identified with professional care, but no later than 24 (twenty-four) and 6 (six) months of the Goods being accepted by the Buyer in the position of a consumer and a non-consumer, respectively, except for those Goods whose packaging shows, in accordance with legislation, a period of usability (the best-before period).

7.4.      Claims out of defective performance may not be made in respect of defects and damage due to normal wear and tear, improper use, force majeure, interference of third parties without the Seller’s consent, and handling or using the Goods in a manner other than the intended manner.

7.5.      Claims out of defective performance may only be made subject to the terms and conditions described in this Article; otherwise such claims are extinguished.

8.      Warranty Claims Rules

8.1.      The warranty claims rules govern the manner and conditions for defected Goods complaints quality warranty claims by the Consumer, in accordance with the relevant provisions of the Civil Code and Act No. 634/1992 Sb., the Consumer Protection Act, as amended.

8.2.      In respect of any Goods sold by the Seller to the Buyer in the position of the Consumer, the Seller is liable to the Buyer for such Goods being free of defect upon acceptance and demonstrating no defect within 24 (twenty-four) months of being accepted by the Buyer.

8.3.      The Seller hereby informs the Buyer that with regard to the nature of the Goods, the Seller's complaint may not always be satisfied, especially if he/she did not complain of obvious defects of the Goods during its delivery (e.g. damage to the protective packaging) and/or fails. to prove that the Goods had the alleged defects already at the time of delivery.

8.4.      If the Buyer is a Consumer and the Goods demonstrate during the period under 8.2 a defect which prevents the purchased Goods from being used in perfectly due manner and the defect can be repaired, the Buyer has the right to have the Goods repaired free of charge. Repairable defect in Goods not yet used entitles the Buyer to choose to demand perfect replacement Goods. Repairable defect also entitles the Buyer to demand adequate discount off the purchase price. Irreparable defect that prevents the Goods from being duly used as perfect Goods entitles the Buyer to demand replacement for the Goods, demand adequate discount off the purchase price or withdraw from the Purchase Agreement. The Buyer enjoys no defective performance right if having knowledge of the defect prior to accepting the Goods or being the party to which the defect is attributable. The Buyer has no right to withdraw from the Purchase Agreement or demand the delivery of a new thing if unable to return the thing in the condition in which the thing is received by the Buyer, except for the cases provided by law. If the Buyer does not withdraw from the Purchase Agreement or exercises the right to be delivered a new thing without defects, have part of the thing replaced or have the thing repaired, the Buyer may demand adequate discount off the purchase price. The Buyer has the right to adequate discount off the purchase price also if the Seller cannot deliver a new thing without defects, cannot replace part of the thing, cannot repair the thing, fails to make remedy within a reasonable period of time or is likely to incur considerable problems if attempting to make remedy. The Buyer acknowledges that the provisions of this article shall apply appropriately to the nature of the Goods.

8.5.      If the Buyer is a non-Consumer and a defect which prevents the purchased Goods from being used in perfectly due manner manifests itself in the Goods during the period under 8.2 and the defect can be repaired, the Seller deals with the Buyer’s claim as effectively as the Seller may deem best.

8.6.      The Buyer must make his defective performance claim by sending the Goods back to the Seller and enclosing a copy of the tax document. The claim must describe the defect or specify in good detail how the defect manifests itself and suggest how the claim should be dealt with. The claim is made duly once the claim form is delivered to the Seller in accordance with the requirements specified above. If, having opened a caviar item, the Buyer discovers the caviar is unfit for consumption, the Buyer must first take a picture of the caviar and send the same to info@pearlacaviar.com for the Seller to be able to deal with the complaint. How the Seller is going to deal with the complaint must be notified by the Seller to the Buyer without undue delay of receiving the said picture.

8.7.      Claims and complaints can be made:

8.8.      If defects in the Goods are found actual defects, the Seller delivers new Goods to the Buyer or provide adequate discount off the purchase price or financial compensation equal to the price for the delivered item of the Goods. Should the new, replacement Goods also suffer defects, the Buyer may withdraw from the Purchase Agreement to the corresponding extent.

8.9.      The Buyer must make his claim or complaint with the Seller without undue delay after identifying the defect. The claims and complaints received are responded to without undue delay but no later than 30 (thirty) days of receipt unless the Parties agree otherwise.

8.10.   If a defective performance claim is admitted, the Seller reimburses the Buyer for the cost of transportation of the Goods.

9.      WITHDRAWAL BY BUYER THAT IS CONSUMER

9.1.      The Buyer that is a Consumer, acknowledges that according to Section 1837 of the Civil Code, it is not possible to withdraw among others from a contract, the subject of which is the supply of perishable goods as well as goods which were irreversibly mixed with other goods after supply.

9.2.      If this is not the case referred to in Article 9.1, the Buyer that is a Consumer has in accordance with Section 1829(1) of the Civil Code, the right to withdraw from the Purchase Agreement within 14 (fourteen) days of accepting the Goods. The Buyer sends his notice of withdrawal to info@pearlacaviar.com.

9.3.      Withdrawal from the Purchase Agreement pursuant to Article 9.2 renders the Purchase Agreement null and void. The Buyer must deliver the Goods back to the Seller at the Buyer’s expense within 14 (fourteen) days of the date the notice of withdrawal reaches the Seller at the address Pearla Caviar s.r.o., Jiráskovo náměstí 1981/6, 120 00 Prague 2, Czech Republic. The Goods must be returned to the Seller free of any damage, unused, clean and in original packaging. If the Goods are not returned in accordance with the requirements as per the previous sentence, the Buyer has no right to be refunded the purchase price.

9.4.      To the Goods the Buyer must enclose a copy of the bill of delivery and of the invoice, if any, or of any other document proving the purchase of the Goods, and enclose a written notice of withdrawal from the Purchase Agreement.

9.5.      The Seller may review the Goods returned, by the 10th (tenth) day of being delivered the Goods by the Buyer as per Article 9.3, especially in order to check the Goods for possible damage or wear and tear (according to the nature of the Goods).

9.6.      The purchase price received by the Seller under the Purchase Agreement must be refunded to the Buyer within 14 (fourteen) days of the date the notice of withdrawal reaches the Seller, by the Seller crediting the money to the bank account notified by the Buyer or the account from which it was debited to the Seller’s account. Should the Buyer withdraw from the Purchase Agreement, the Seller shall not be obliged to refund the money to the Buyer before the Buyer returns the Goods to the Seller or provides evidence of having sent the Goods to the Seller.

9.7.      The Buyer acknowledges that if the Goods returned by the Buyer are damaged, show signs of wear and tear or are consumed to some extent (according to the nature of the Goods), that fact forms the right for the Seller to claim damages from the Buyer. The Seller shall be entitled to set off unilaterally any claim for compensation for damage caused to the Goods against the Buyer’s claim for purchase price refund.

10.   Withdrawal by SELLER. Force Majeure

10.1.   The Seller may withdraw from the Purchase Agreement if experiencing insurmountable obstacles which prevent the Seller from delivering the Goods by the agreed date and if reaching no agreement with the Buyer as to an alternative date of delivery; the Seller must immediately notify his withdrawal to the Buyer and immediately refund any money already received.

10.2.   The Seller is not be liable to the Buyer for failure to fulfil obligations out of the Purchase Agreements made if such failure is due to unforeseeable and unavoidable events which the Seller could not prevent.

11.   PERSONAL DATA PROTECTION

11.1.   The Seller processes the personal data of the Buyer who is a natural person in accordance with the applicable personal data protection legislation, in particular Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (the General Data Protection Regulation). 12.   General and Final Provisions

12.1.   The Buyer may not unilaterally set off his claims against the Seller against the Seller’s claims against the Buyer without the Seller’s prior written consent.

12.2.   The Buyer may not assign the Purchase Agreement or any claim arising therefrom to a third party without the Seller’s prior written consent.

12.3.   The Terms, the Purchase Agreement and the relationships arising thereunder are governed by the laws of the Czech Republic. The rights and obligations not expressly regulated in these Terms are governed by the pertinent provisions of the Civil Code.

12.4.   The Seller and the Buyer undertake to make every effort to resolve amicably any dispute that may arise in connection with the Purchase Agreement. The relations and disputes out of the Purchase Agreement are to be exclusively resolved by the competent courts of the Czech Republic.

12.5.   If the Buyer and the Seller experience a consumer dispute out of the Purchase Agreement between them and are unable to resolve it by agreement, the Buyer may file a petition to have the dispute resolved out of court, with the authority competent for hearing such disputes, which is:

The Buyer may also use the platform for online dispute settlement, which is established by the European Commission at http://ec.europa.eu/consumers/odr/.

12.6.   The Seller may unilaterally modify the Terms to a reasonable extent. This provision, however, is without prejudice to the rights and obligations formed during the effect of the previous version of the Terms.

12.7.   The Terms come into force and effect on 20/05/2020 and are available electronically at www.pearlacaviar.com.

1.      Úvodní ustanovení

1.1.      Tyto všeobecné obchodní podmínky (dále jen „VOP“) ve smyslu ustanovení § 1751 zákona č. 89/2012 Sb., občanský zákoník, v platném znění (dále jen „Občanský zákoník“) jsou podkladem pro veškerá obchodní ujednání uzavíraná společností Pearla Caviar s.r.o., IČO: 086 41 498, se sídlem Jiráskovo náměstí 1981/6, 120 00 Praha 2, Česká republika, zapsanou v obchodním rejstříku vedeném Městským soudem v Praze pod sp. zn. C 322491 (dále jen „Prodávající“), při prodeji jejího Zboží. VOP vymezují a upřesňují základní práva a povinnosti Prodávajícího a Kupujícího a jsou nedílnou součástí Kupní smlouvy.

1.2.      Kupující odesláním objednávky potvrzuje, že se před uzavřením Kupní smlouvy seznámil s těmito VOP, které jsou její nedílnou součástí, a že s nimi výslovně souhlasí, a to ve znění platném a účinném v momentě odeslání objednávky.

1.3.      VOP platí i v případě, že Prodávající sjedná s Kupujícím zvláštní ujednání pro specifické dodávky Zboží, a to podpůrně pro věci zvláštními ujednáními výslovně nedohodnuté. Odchylná písemná ujednání Smluvních stran mají přednost před ustanoveními těchto VOP.

1.4.      Prodávající při uzavírání a plnění Kupní smlouvy jedná v rámci své podnikatelské činnosti. Prodávající je podnikatelem, který přímo nebo prostřednictvím jiných podnikatelů dodává Kupujícímu Zboží.

1.5.      V případech, kdy Kupující jedná při objednávání Zboží v rámci své podnikatelské činnosti nebo v rámci svého samostatného výkonu povolání nebo je právnickou osobou, neuplatní se na něj ochrana spotřebitele dle těchto VOP, tedy neuplatní se příslušná ustanovení článku 9 – Odstoupení od smlouvy kupujícím v postavení spotřebitele.

1.6.      K zakoupení alkoholických nápojů je oprávněna pouze fyzická osoba, jež dovršila 18 let věku. Dovršení věku 18 let zákazník vždy potvrdí před vložením alkoholického nápoje do košíku.

1.7.      Prodávající tímto prohlašuje a dává na vědomí, že objednání a prodej alkoholických nápojů fyzickým osobám mladším 18 let je zakázán.

2.      Definice

„E-shopem“ se rozumí webové rozhraní umístěné na webové stránce dostupné na internetové adrese https://www.pearlacaviar.com.

„Kupní smlouvou“ se rozumí individuální kupní smlouva uzavřená mezi Prodávajícím a Kupujícím, jejímž předmětem je prodej a koupě Zboží.

„Kupujícím“ se rozumí osoba, která s Prodávajícím uzavřela Kupní smlouvu.

„Smluvními stranami“ se rozumí Prodávající a Kupující současně a „Smluvní stranou“ se rozumí Prodávající nebo Kupující jednotlivě.

„Spotřebitelem“ se rozumí každý člověk, který mimo rámec své podnikatelské činnosti nebo mimo rámec samostatného výkonu svého povolání uzavírá smlouvu s podnikatelem nebo s ním jinak jedná.

„Zbožím“ se rozumí veškerý sortiment produktů nabízený Prodávajícím.

3.      Kupní Smlouva

3.1.      Návrhem na uzavření Kupní smlouvy (nabídkou) je prezentace Zboží Prodávajícím v E-shopu. Než Kupující závazně potvrdí objednávku, má právo měnit jak požadované Zboží, dopravu i způsob úhrady, tedy zkontrolovat všechny údaje, které do objednávky vložil. Kupní smlouva mezi Smluvními stranami vzniká okamžikem doručení potvrzení objednávky (akceptací), jež je Prodávajícím zasláno na e-mail Kupujícího. Přílohou potvrzení je aktuální znění VOP. Kupní smlouvu lze změnit nebo zrušit pouze na základě dohody Smluvních stran nebo na základě zákonných důvodů.

3.2.      Kupní smlouvou se Prodávající zavazuje dodat Kupujícímu zboží uvedené v objednávce a Kupující se zavazuje toto Zboží od Prodávajícího či jím zvoleného dopravce převzít a zaplatit Prodávajícímu kupní cenu zboží uvedenou v objednávce.

4.      Platební a Dodací Podmínky

4.1.      Kupní ceny Zboží v E-shopu jsou uváděny včetně DPH.

4.2.      Kupní ceny Zboží a případné slevy je Prodávající oprávněn jednostranně měnit pro každý konkrétní případ. Takové změny se nevztahují na jednotlivé Kupní smlouvy, jež byly uzavřeny před těmito změnami. Případné slevy z kupní ceny nelze navzájem kombinovat, nedohodne-li se Prodávající s Kupujícím jinak.

4.3.      Zboží a případné náklady spojené s jeho dodáním jsou Kupujícím hrazeny jedním z níže uvedených způsobů, pokud takový způsob úhrady E-shop umožňuje:

  • bezhotovostně převodem na bankovní účet Prodávajícího; variabilní symbol: číslo objednávky;
  • bezhotovostně platební kartou;
  • bezhotovostně převodem na účet Prodávajícího prostřednictvím platební brány;
  • dobírkou v hotovosti při předání zboží.

4.4.      V případě platby v hotovosti je kupní cena splatná při převzetí Zboží. V případě bezhotovostní platby je kupní cena splatná do 4 dnů od uzavření Kupní smlouvy.

4.5.      V případě platby prostřednictvím platební brány postupuje Kupující podle pokynů příslušného poskytovatele elektronických plateb.

4.6.      V případě bezhotovostní platby je závazek Kupujícího uhradit kupní cenu splněn okamžikem připsání příslušné částky na bankovní účet prodávajícího.

4.7.      Podle zákona o evidenci tržeb je Prodávající povinen vystavit Kupujícímu účtenku a zároveň je povinen zaevidovat přijatou tržbu u správce daně online; v případě technického výpadku pak nejpozději do 48 hodin.

4.8.      Prodávající vystaví Kupujícímu daňový doklad – fakturu. Daňový doklad je odeslán na e-mailovou adresu kupujícího nebo bude přiložen k dodávanému Zboží.

4.9.      Prodávající se zavazuje dodat Zboží Kupujícímu v dodacím termínu uvedeném v objednávce, v odpovídajícím množství a kvalitě. Zboží Prodávající zabalí a popíše dle jeho standardních zvyklostí, popř. dle vzájemné dohody Smluvních stran. Dílčí dodávky Zboží dle Kupní smlouvy jsou přípustné a Kupující je povinen přijmout i částečné plnění.

4.10.   Prodávající zajišťuje na náklady Kupujícího balení a dopravu Zboží; veškeré náklady související s balením a dopravou Zboží je Prodávající oprávněn Kupujícímu vyúčtovat (vyfakturovat) podle aktuálního ceníku zveřejněného v E-shopu. K převzetí Zboží dochází dodáním Zboží Kupujícímu. Kupující je povinen objednané Zboží převzít a převzetí potvrdit na dodacím listě.

4.11.   V případě, že Kupující nepřevezme Zboží ani neodstoupí od Kupní smlouvy v souladu s těmito Podmínkami, má Prodávající právo na náhradu nákladů spojených s jeho uskladněním (za uskladnění zajištěné Prodávajícím ve výši 2 % z kupní ceny neodebraného Zboží za každý započatý den prodlení ode dne, kdy mělo být Zboží Kupujícím, resp. jeho dopravcem převzato). V případě, že je z důvodů na straně Kupujícího nutno zboží doručovat opakovaně nebo jiným než sjednaným způsobem, je Kupující povinen uhradit náklady spojené s takovým doručováním.

4.12.   Dodáním Zboží se rozumí okamžik doručení Zboží Kupujícímu v souladu s Kupní smlouvou. Odmítnutí převzetí Zboží Kupujícím bez písemného odstoupení od Kupní smlouvy se nepovažuje za nesplnění povinnosti dodat Zboží ze strany Prodávajícího ani za odstoupení od Kupní smlouvy ze strany Kupujícího.

4.13.   Při převzetí Zboží je Kupující povinen zkontrolovat neporušenost obalu Zboží a případné závady neprodleně oznámit dopravci a Prodávajícímu způsobem, že mu zašle fotografii porušeného obalu Zboží na adresu info@pearlacaviar.com. Podpisem dodacího listu Kupující potvrzuje, že zásilku převzal v neporušeném stavu, a bere na vědomí, že reklamace Zboží z důvodu porušení obalu zásilky již není možná.

4.14.   Prodávající se zavazuje dodávat Zboží společně s veškerými doklady, které jsou potřebné k jejich převzetí a užívání, jakož i další doklady, které se ke Zboží vztahují, a umožnit Kupujícímu nabytí vlastnického práva ke Zboží.

5.      Přechod vlastnického práva a nebezpečí škody

5.1.      Kupující nabývá vlastnické právo ke Zboží úhradou celé kupní ceny za Zboží (včetně nákladů na balení a dodání), ovšem nikoliv dříve, než Zboží převezme.

5.2.      Odpovědnost za nahodilou zkázu, poškození či ztrátu Zboží přechází na Kupujícího okamžikem převzetí Zboží, nebo okamžikem, kdy měl Kupující povinnost Zboží převzít, avšak v rozporu s Kupní smlouvou tak neučinil (tj. zejména, když je Zboží pro něj připraveno k převzetí). Zničení, ztráta nebo odcizení Zboží po přechodu nebezpečí škody na Kupujícího nezakládá právo Kupujícího na vrácení kupní ceny od Prodávajícího.

6.      Nakládaní se Zbožím

6.1.      Kupující bere na vědomí, že pokud je zakoupeným Zbožím kaviár, je pro zachování jeho kvality a vlastností nezbytné s ním od okamžiku převzetí nakládat následovně:

  • před otevřením uchovávat kaviár v chladu (lednici) při teplotě mezi 2°C až 4°C po dobu maximálně 8 týdnů;
  • po otevření uchovávat kaviár v uzavřené nádobě v chladu (lednici) při teplotě mezi 2°C až 4°C a zkonzumovat jej do 2-3 dnů od otevření;
  • vyjmout kaviár z lednice 10-15 minut před podáváním.

7.      Odpovednost za vady

7.1.      Prodávající odpovídá za vady, které má Zboží v okamžiku, kdy přechází nebezpečí škody na Kupujícího, i když se vada stala zjevnou až po tomto okamžiku. Kupující je povinen prohlédnout Zboží neprodleně po přechodu nebezpečí škody na Kupujícího.

7.2.      Vady zjevné, tj. vady, které Kupující mohl při vynaložení odborné péče zjistit při prohlídce Zboží, je Kupující povinen písemně oznámit Prodávajícímu neprodleně poté, co prohlídku Zboží provedl nebo měl provést. Jestliže Kupující Zboží neprohlédne nebo nezařídí, aby bylo prohlédnuto v době přechodu nebezpečí škody, může uplatnit nároky z vad zjistitelných při této prohlídce, jen když prokáže, že tyto vady mělo Zboží již v době přechodu nebezpečí škody na Kupujícího.

7.3.      Vady skryté, tj. vady, které Kupující při prohlídce Zboží nemohl zjistit ani při vynaložení odborné péče, je Kupující povinen písemně oznámit Prodávajícímu neprodleně poté, kdy vady zjistil, resp. kdy mohly být při vynaložení odborné péče zjištěny, nejpozději však do 24 (dvaceti čtyř) měsíců od převzetí Zboží je-li Kupující Spotřebitel či do 6 (šesti) měsíců od převzetí Zboží v případě, že Kupující je osobou odlišnou od Spotřebitele, s výjimkou Zboží, u nějž je na jeho obalu v souladu s právními předpisy uvedena doba (tj. minimální trvanlivost), po kterou lze věc použít.

7.4.      Nároky z vadného plnění nelze uplatnit pro vady a škody vzniklé běžným opotřebením, neodborným použitím, vyšší mocí, zásahem třetích osob bez souhlasu Prodávajícího a zacházením se Zbožím nebo užíváním Zboží k jiným účelům, než ke kterým je Zboží určeno.

7.5.      Nároky z vadného plnění lze uplatnit pouze dle podmínek popsaných v tomto článku; jinak takové nároky zanikají.

8.      Reklamační řád

8.1.      Reklamační řád upravuje způsob a podmínky reklamace vad Zboží a uplatnění nároků ze záruky za jakost Spotřebitelem, v souladu s příslušnými ustanoveními Občanského zákoníku a zákona č. 634/1992 Sb., o ochraně spotřebitele, ve znění pozdějších předpisů.

8.2.      U veškerého Zboží prodávaného Prodávajícím Kupujícímu, který je Spotřebitelem, odpovídá Prodávající Kupujícímu za to, že Zboží při převzetí nemá vady a že se vady u Zboží nevyskytnou v době 24 (dvaceti čtyř) měsíců od převzetí zboží Kupujícím.

8.3.      Prodávající tímto informuje Kupujícího, že s ohledem na povahu Zboží nemusí být ze strany Prodávajícího jeho reklamaci vždy vyhověno, a to zejména v případě, že nevytkl zjevné vady Zboží při jeho předání (např. při poškození ochranného obalu) a/nebo nepodaří-li se prokázat, že Zboží mělo vytýkané vady již při jeho předání.

8.4.      Je-li Kupující Spotřebitelem a vyskytne-li se v průběhu doby dle čl. 8.2 vada Zboží, pro kterou nemůže být zakoupené Zboží používáno zcela řádně, a tuto vadu lze odstranit, má Kupující právo na jeho bezplatnou opravu. U odstranitelné vady na dosud nepoužitém Zboží má Kupující právo místo odstranění vady požadovat výměnu vadného kusu Zboží za bezvadný. U odstranitelné vady má Kupující dále právo na přiměřenou slevu z kupní ceny. V případě vady, kterou nelze odstranit a která brání tomu, aby Zboží mohlo být řádně užíváno jako Zboží bez vady, má Kupující právo na výměnu Zboží, na přiměřenou slevu z kupní ceny anebo má právo od Kupní smlouvy odstoupit. Práva z vadného plnění Kupujícímu nenáleží, pokud Kupující o vadě před převzetím Zboží věděl, nebo pokud vadu sám způsobil. Kupující nemá právo od Kupní smlouvy odstoupit, ani požadovat dodání nové věci, pokud nemůže věc vrátit v tom stavu, v jakém ji obdržel, vyjma případů stanovených zákonem. Neodstoupí-li Kupující od Kupní smlouvy nebo neuplatní-li právo na dodání nové věci bez vad, na výměnu její součásti nebo na opravu věci, může požadovat přiměřenou slevu z kupní ceny. Kupující má právo na přiměřenou slevu z kupní ceny i v případě, že mu Prodávající nemůže dodat novou věc bez vad, vyměnit její součást nebo věc opravit, jakož i v případě, že Prodávající nezjedná nápravu v přiměřené době, nebo že by zjednání nápravy Kupujícímu působilo značné obtíže. Kupující bere na vědomí, že ustanovení tohoto článku se aplikují přiměřeně k povaze Zboží.

8.5.      Je-li Kupující osobou odlišnou od Spotřebitele a vyskytne-li se v průběhu doby dle čl. 8.2 vada Zboží, pro kterou nemůže být zakoupené Zboží používáno zcela řádně, a tuto vadu lze odstranit, vyřídí Prodávající reklamaci dle svého uvážení co nejefektivněji.

8.6.      Kupující musí uplatní nárok z titulu vadného plnění tak, že Zboží zašle zpět Prodávajícímu s přiloženou kopií daňového dokladu. Uplatnění nároku musí obsahovat popis vady, nebo přesné určení, jak se vada projevuje a navrhovaný způsob vypořádání reklamace. Reklamace je vždy řádně uplatněna okamžikem doručení reklamačního formuláře Prodávajícímu v souladu s výše uvedeným způsobem uplatnění reklamace.

8.7.      Pokud Kupující po otevření kaviáru zjistí, že není vhodný ke konzumaci, je povinen nejprve kaviár vyfotit a fotografii zaslat na info@pearlacaviar.com, aby Prodávající mohl reklamaci posoudit. Prodávající bez zbytečného odkladu od obdržení fotografie vyrozumí Kupujícího o dalším postupu při reklamaci.

8.8.      Reklamaci lze uplatnit následujícím způsobem:

8.9.      Prokážou-li se vady Zboží jako odůvodněné, dodá Prodávající nové Zboží, či poskytne přiměřenou slevu z kupní ceny či finanční kompenzaci v ceně dodaného jednotlivého kusu Zboží. Pokud by mělo Zboží vady i po náhradní dodávce nového Zboží, je Kupující oprávněn od Kupní smlouvy v příslušném rozsahu odstoupit.

8.10.   Kupující je povinen uplatnit reklamaci u Prodávajícího bez zbytečného odkladu od zjištění vady. Doručené reklamace jsou vyřizovány bez zbytečného odkladu, nejpozději však do 30 (třiceti) dnů ode dne uplatnění reklamace, pokud se Smluvní strany nedohodnou jinak.

8.11.   Při oprávněném nároku z vadného plnění uhradí Prodávající Kupujícímu náklady na dopravu Zboží.

9.      Odstoupení od smlouvy kupujícím v postavení spotrebitele

9.1.      Kupující, který je Spotřebitelem, bere na vědomí, že dle § 1837 Občanského zákoníku nelze mimo jiné odstoupit od kupní smlouvy, jejímž předmětem je dodávka zboží, které podléhá rychlé zkáze, nebo zboží, které bylo po dodání nenávratně smíseno s jiným zbožím.

9.2.      Nejedná-li se o případ uvedený v čl. 9.1, má Kupující v postavení Spotřebitele v souladu s § 1829 odst. 1 Občanského zákoníku právo od Kupní smlouvy odstoupit, a to do 14 (čtrnácti) dnů od převzetí Zboží. Oznámení o odstoupení od Kupní smlouvy zašle Kupující na e-mail info@pearlacaviar.com.

9.3.      V případě odstoupení od Kupní smlouvy dle čl. 9.2 se Kupní smlouva od počátku ruší. Kupující doručí Zboží na své náklady zpět Prodávajícímu do 14 (čtrnácti) dnů od doručení oznámení o odstoupení od Kupní smlouvy Prodávajícímu, a to na adresu Pearla Caviar s.r.o., Jiráskovo náměstí 1981/6, 120 00 Praha 2, Česká republika. Zboží musí být Prodávajícímu vráceno nepoškozené, neopotřebené a neznečištěné a v původním obalu. V případě, že Zboží nebude vráceno v souladu s požadavky dle předchozí věty, nemá Kupující právo na vrácení kupní ceny.

9.4.      Kupující spolu s vráceným Zbožím přiloží kopii dodacího listu a faktury, byla-li vystavena, nebo jiný dokument prokazující koupi Zboží, a dále písemné oznámení o odstoupení od Kupní smlouvy.

9.5.      Ve lhůtě 10 (deseti) dnů od doručení (vrácení) Zboží Kupujícím dle čl. 9.3 je Prodávající oprávněn provést přezkoumání vráceného Zboží, zejména za účelem zjištění, zda vrácené Zboží není poškozeno či opotřebeno (dle povahy Zboží).

9.6.      Prodávající vrátí Kupujícímu kupní cenu, kterou od něj na základě Kupní smlouvy přijal do 14 (čtrnácti) dnů od doručení oznámení o odstoupení od Kupní smlouvy Kupujícím, a to zasláním na jím sdělený bankovní účet nebo účet, ze kterého byly prostředky poukázány k úhradě kupní ceny. Odstoupí-li Kupující od Kupní smlouvy, Prodávající není povinen vrátit kupní cenu Kupujícímu dříve, než mu Kupující Zboží vrátí nebo prokáže, že Zboží Prodávajícímu odeslal.

9.7.      Kupující bere na vědomí, že pokud Zboží vrácené Kupujícím bude poškozeno, opotřebeno či částečně spotřebováno (dle povahy Zboží), vzniká Prodávajícímu vůči Kupujícímu nárok na náhradu škody jemu tím vzniklé. Nárok na úhradu vzniklé škody je Prodávající oprávněn jednostranně započíst proti nároku Kupujícího na vrácení kupní ceny.

10.   Odstoupení od smlouvy prodávajícím, vyšší moc

10.1.   V případě, že se na straně Prodávajícího vyskytly neodstranitelné překážky, pro které nemůže dodávku Zboží uskutečnit ve sjednané lhůtě, a pokud nebude sjednána náhradní lhůta pro plnění, má Prodávající právo od Kupní smlouvy odstoupit; v takovém případě o odstoupení Kupujícího neprodleně vyrozumí a případně mu bezodkladně vrátí uhrazenou částku.

10.2.   Prodávající neodpovídá Kupujícímu za nesplnění povinností z uzavřených Kupních smluv, pokud se tak stane z důvodu nepředvídatelných a neodvratitelných událostí, kterým Prodávající nemohl zabránit.

11.   Ochrana osobních údajú

11.1.   Prodávající zpracovává osobní údaje Kupujícího, který je fyzickou osobou, v souladu s platnou právní úpravou ochrany osobních údajů, zejména v souladu s Nařízením Evropského parlamentu a Rady (EU) 2016/679 ze dne 27. dubna 2016 o ochraně fyzických osob v souvislosti se zpracováním osobních údajů a o volném pohybu těchto údajů a o zrušení směrnice 95/46/ES (obecné nařízení o ochraně osobních údajů). 12.   Všeobecná a závěrečná ustanovení

12.1.   Kupující není oprávněn učinit jednostranný zápočet pohledávek mezi Smluvními stranami bez předchozího písemného souhlasu Prodávajícího.

12.2.   Kupující není oprávněn postoupit Kupní smlouvu či jakékoliv pohledávky vyplývající z Kupní smlouvy na třetí osobu bez předchozího písemného souhlasu Prodávajícího.

12.3.   VOP, Kupní smlouva a vztahy z nich vyplývající se řídí právním řádem České republiky. Práva a povinnosti Smluvních stran v těchto VOP výslovně neupravené se řídí příslušnými ustanoveními Občanského zákoníku.

12.4.   Prodávající a Kupující se zavazují vyvinout veškeré úsilí směřující ke smírnému vyřešení veškerých sporů, které mohou případně vzniknout či vyvstat v souvislosti s Kupní smlouvou. Vztahy a případné spory, které vzniknou na základě Kupní smlouvy, budou řešeny výhradně příslušnými soudy České republiky.

12.5.   V případě, že mezi Kupujícím a Prodávajícím dojde ke vzniku spotřebitelského sporu z Kupní smlouvy, který se nepodaří vyřešit vzájemnou dohodou, může Kupující podat návrh na mimosoudní řešení takového sporu určenému subjektu mimosoudního řešení spotřebitelských sporů, kterým je:

12.6.   Prodávající je oprávněn VOP v přiměřeném rozsahu jednostranně změnit. Tímto ustanovením však nejsou dotčena práva a povinnosti vzniklé po dobu účinnosti předchozího znění VOP.

12.7.   VOP nabývají platnosti a účinnosti dnem 20/05/2020, přičemž jsou k dispozici elektronicky na www.pearlacaviar.com.
